PBX Telecoms – Terms & Conditions

Effective Date: 12 December 2025

These Terms and Conditions (“Terms”) govern the provision of services by PBX Telecoms (“PBX Telecoms”, “we”, “us”, or “our”) to the customer (“Customer”, “you”). By ordering, using, or continuing to use any PBX Telecoms service, you agree to be bound by these Terms.


1. Definitions

  • PBX Telecoms: The service provider offering Hosted PBX and related telephony services.
  • Customer: Any individual or legal entity subscribing to PBX Telecoms services.
  • Services: Hosted PBX / Virtual Phone System and related call management features.
  • Switchboard Service: The hosted PBX platform provided by PBX Telecoms.
  • PIS (Put Into Service): The date on which the service is fully installed, activated, and operational.
  • External Services: SIP, VoIP, internet connectivity, or third-party services not supplied by PBX Telecoms.

2. Scope of Services

  • PBX Telecoms provides cloud-based Hosted PBX / Virtual Phone System services.
  • Services include call routing, extensions, voicemail, IVR, call management, and remote working functionality, depending on the selected plan.
  • PBX Telecoms does not supply internet connectivity or third-party SIP services, unless explicitly stated in writing.

3. Service Activation (PIS)

  • Services are deemed active once installed, configured, tested, and confirmed operational (PIS).
  • Billing and contractual obligations commence from the PIS date, regardless of actual usage.
  • Any delays caused by the Customer (e.g., missing information, network readiness) do not delay PIS once the service is technically available.

4. Fees & Charges

  • Fees are billed according to the selected service plan and pricing agreed at the time of order.
  • All prices are exclusive of VAT, unless stated otherwise.
  • Monthly subscription fees are payable in advance, unless otherwise agreed in writing.
  • PBX Telecoms reserves the right to adjust pricing with reasonable notice.

5. Payment Terms

  • Invoices are issued monthly.
  • Payment terms are strictly as stated on the invoice.
  • Late payments may result in:
    • Suspension of services
    • Administrative fees
    • Interest charged at the maximum rate permitted by law
  • PBX Telecoms reserves the right to suspend or terminate services for non-payment.

6. External Services Disclaimer

  • SIP trunks, VoIP services, and internet connectivity provided by third parties remain the sole responsibility of the Customer.
  • PBX Telecoms is not liable for service interruptions, call quality issues, or failures caused by external providers.
  • The Customer is responsible for ensuring sufficient bandwidth and network quality.

7. Customer Responsibilities

The Customer agrees to:

  • Provide accurate and complete information required for service provisioning.
  • Maintain suitable internet connectivity and network infrastructure.
  • Use the Services lawfully and not for fraudulent, abusive, or illegal purposes.
  • Ensure authorized users comply with these Terms.

8. Service Availability & Support

  • PBX Telecoms will use reasonable efforts to maintain service availability.
  • Planned maintenance may occur and will be communicated where possible.
  • Support is provided according to the selected support level or service agreement.
  • PBX Telecoms does not guarantee uninterrupted or error-free service.

9. Suspension & Termination

PBX Telecoms may suspend or terminate services if:

  • The Customer breaches these Terms
  • Payment is overdue
  • Services are used unlawfully or abusively

The Customer may terminate services subject to:

  • Contractual notice periods
  • Settlement of all outstanding fees

Termination does not release the Customer from payment obligations incurred prior to termination.


10. Data Protection & Privacy

  • PBX Telecoms processes personal and business data in accordance with applicable privacy laws, including POPIA.
  • The Customer consents to data processing necessary to deliver the Services.
  • PBX Telecoms implements reasonable technical and organizational measures to protect data.

11. Intellectual Property

  • All software, systems, documentation, and trademarks remain the property of PBX Telecoms or its licensors.
  • The Customer is granted a limited, non-transferable right to use the Services during the subscription period.
  • No ownership rights are transferred.

12. Limitation of Liability

  • PBX Telecoms shall not be liable for indirect, incidental, or consequential damages.
  • Liability is limited to the fees paid by the Customer for the affected service in the preceding 3 months.
  • PBX Telecoms is not responsible for losses arising from third-party services or internet failures.

13. Indemnification

The Customer agrees to indemnify and hold PBX Telecoms harmless against claims arising from:

  • Misuse of the Services
  • Breach of these Terms
  • Violation of any law or third-party rights

14. Amendments

  • PBX Telecoms may update these Terms from time to time.
  • Updated Terms will be published on the PBX Telecoms website.
  • Continued use of the Services constitutes acceptance of the revised Terms.

15. Governing Law

  • These Terms are governed by the laws of the Republic of South Africa.
  • Any disputes shall be subject to the exclusive jurisdiction of South African courts.
